Sign Supply Wizard Authorized Users’ Terms and Conditions Use of Licensed Software
You are granted a limited, non-exclusive, non-sublicensable, and non-transferable right to access and use Sign Supply Wizard (the “Software”) through Glantz's platform solely for your internal business purposes in connection with estimating and building Bills of Materials to produce signage components (the “Purpose”). This Software is owned by a third-party licensor, Principal Lighting Group, LLC (“PLG”), and is made available to you by Glantz under agreement with PLG. You acknowledge and agree that: • Your use of the Software is strictly limited to the Purpose defined in these Terms and Conditions. • You are not acquiring any ownership rights in the Software. • Your use must comply with all applicable laws, these Terms and Conditions, and PLG’s Privacy Policy. • All of the terms and statements included in these Terms and Conditions and Glantz’s Privacy Policy apply to your use of the Software, including but not limited to Glantz’s Disclaimer of Warranties and Limitation of Liability. Prohibited Activities You shall not, and shall not permit any third party to: • Use the Software except as expressly authorized by PLG or Glantz. • Reverse engineer, decompile, disassemble, modify, reproduce, republish, download, copy, or create derivative works of the Software. • Make unauthorized copies of the Software or any portions thereof. • Benchmark, test, or publicly disclose performance, availability, or security results of the Software without express written permission from PLG. • Perform or disclose network discovery, vulnerability scanning, password cracking, or penetration testing of the Software. • Rebrand or misrepresent the Software, or otherwise hold out the Software as being affiliated with an entity other than PLG. • Copy or misappropriate any intellectual property rights PLG may have in the Software, including in regard to trademarks and copyrights. • Demonstrate or publish the Software (including its interface and any results) to facilitate the misappropriation of the Software by others. • Access or use the Software to build or support, directly or indirectly, products or services competitive to PLG or its affiliates. • License, sell, transfer, assign, distribute, outsource, permit timesharing or service bureau use of, commercially exploit, or make available the Software to any third party. Third-Party Beneficiary PLG is an intended third-party beneficiary of this section of the Terms and Conditions. PLG shall have the right to enforce any provisions related to the protection of its intellectual property and limitations on use. Disclaimer and Limitation of Liability The Software is provided “as is” and “as available” without warranties of any kind from PLG or Glantz. In no event shall PLG or Glantz be liable to you for any damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Software. Data Handling You acknowledge that certain data you provide in using the Software may be transmitted to PLG to enable and support the Software’s functionality. Glantz and PLG will treat such data in accordance with applicable privacy requirements and/or agreements. Please review Glantz and PLG’s Privacy Policy to understand how PLG and Glantz use your data and your rights pursuant to such use.
